/KASE, July 23, 04/ - Zerde OJSC (Almaty), whose common shares are circulating in the official "B" listing category of Kazakhstan stock exchange Inc. (KASE), has provided KASE with the copy of the annual general shareholders meeting, which was held on July 5 of 2004.

In accordance with the agenda shareholders of Zerde OJSC approved the Board's report, currency of company's balance as of January 1 of 2004 amounting to KZT 79.2 m., reports about results of financial and economic activity and cash flow for 2003, auditor's report for confirmation of the company's financial statement for the year 2003, and also decided:

- appoint Dana-Consulting LLP as the auditor of Zerde OJSC for 2004;

- spend undistributed income amounting to KZT 1.6 m. for formation of the company's reserve capital;

- not to charge dividends for 2003.

- approve modifications into the Company's Chapter; change name of the Company with corresponding registration.

Company's primary activity - maintenance of securities holders register.
